Diet: No more junk fast food. No soft drinks. Eat healthy. Avoid eating chocolates, chips, popcorns, cakes, cookies, fried food. Eat lean meat, fish, poultry with fresh veges. Eat lots of fruits and drink lots of water. He wil feel very hungry when his diet is suddenly changed. Thus, give him enough protein and carb from good sources. Whenever he feels hungry, get him to take an apple.

Cardio work-out: Start with brisk walking for 45 mins. 4 times a week. Then 4 weeks later, start running. If he finds it boring, get him to play basketball or other fun sports rather than just running or you can send him to some martial art lessons.

make sure he eats healthy and get him involved in a sport.

tae kwon do is really fun and you get really good exercise!

take him out for activities...

basketball
swimming
soccer
biking
skateboarding

put the video games down and get out side.

You're right to be concerned about him... there are more and more kids like him developing diabetes and other serious conditions.

The simple answer is exercise and healthy eating.

I suspect the problem might be getting him to want to do both of those. Try to find out what would motivate him to want to get healthier...

Is it so he won't get picked on because he's fat?
Can you scare the sh*t out of him with stats/pictures/case studies about teen diabetes?
Is it so the girls will like him better?
Is it so he can be better at sports?
(etc.)

Unless you find the thing(s) that will motivate him to WANT to lose weight and get healthier, he won't likely buy into your efforts to help him.
